Acceptance of Terms

By creating an account, accessing, or using Veylo’s services ("Service"), you ("User" or "you") agree to be bound by these Terms and all applicable laws and regulations. If you are using the Service on behalf of a company or other organization, you represent that you have the authority to bind that entity to these Terms.

These Terms of Use (“Terms”) govern your access to and use of the Veylo application and services (the “Service”), provided by TechwareHut Inc. (“Company”, “we”, “our”, or “us”). These Terms constitute a legally binding agreement between you and TechwareHut Inc.

Account Registration

To access and use certain features of the Service, you must create an account with Veylo. When registering, you agree to provide accurate, current, and complete information about yourself or your organization. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

If you are an account owner or administrator, you may create and manage logins for additional users within your organization, such as employees or contractors ("Authorized Users"). You are responsible for ensuring that all Authorized Users comply with these Terms and for any actions taken through their accounts.

You agree to notify Veylo immediately of any unauthorized use of your account or any security breach. Veylo will not be liable for any loss or damage resulting from your failure to comply with this obligation.

User Roles

Veylo provides role-based access to accommodate different types of users within an organization. The primary account holder ("Account Owner" or "Admin") is responsible for managing access for their team, including assigning roles such as Team Leads or Employees. Each role has varying levels of permissions. While some roles may access operational features such as job management and vendor records, others may have restricted access to business settings or administrative functions. It is the Account Owner's responsibility to assign roles appropriately and ensure compliance with these Terms by all Authorized Users.

Services Provided

Veylo is a cloud-based field service management platform designed to help businesses manage and streamline operational tasks. The Service includes, but is not limited to:

Veylo may update or enhance its services from time to time, and some features may be released in beta or limited availability. The features and functionality accessible to you may vary depending on your subscription plan and assigned user role.

Veylo does not provide field services directly and is not responsible for the quality, delivery, or legality of services performed by its users.

Subscription Plans & Payment Terms

Veylo is offered as a subscription-based service with multiple pricing tiers designed to accommodate businesses of different sizes:

By subscribing to a plan, you agree to pay all fees associated with your selected tier. Subscription fees are billed either monthly or annually, based on the billing cycle you choose at the time of purchase. Unless canceled in accordance with these Terms, your subscription will automatically renew at the end of each billing cycle.

Billing & Payment

Payments are processed through third-party providers such as Stripe. By subscribing, you agree to comply with the terms and conditions of those providers. Veylo does not store your payment details directly.

You authorize Veylo to charge your selected payment method for the applicable subscription fees, including any renewals. If a payment fails or is declined, we may suspend or terminate your access to the Service until payment is resolved.

Changes to Your Plan

You may upgrade or downgrade your plan at any time. Changes will take effect immediately or at the start of the next billing cycle, depending on our billing provider’s rules. User limits and feature access will be adjusted accordingly.

Price Changes

Veylo reserves the right to change pricing for any subscription plans with reasonable prior notice. Any price changes will apply to the next billing cycle unless otherwise specified.

Refunds

Except as required by law or explicitly stated in writing, all payments are non-refundable. This includes partial refunds for unused time or features during a billing cycle.

Free Trial

Veylo may offer a free trial period for new users to explore the Service. The duration and features of the trial are subject to change and will be clearly communicated at the time of sign-up.

At the end of the trial, your account will automatically transition to a paid subscription unless you cancel before the trial period expires. By entering payment information during the trial, you authorize Veylo to charge your chosen payment method if you continue using the Service after the trial ends. Veylo reserves the right to modify or discontinue free trial offerings at any time without prior notice.

Taxes

Unless otherwise stated, all prices listed on the Veylo website or platform are exclusive of applicable taxes. You are responsible for paying any applicable sales, use, value-added, or other taxes that may arise in connection with your subscription or use of the Service, based on your billing address or jurisdiction. Veylo may calculate and collect applicable taxes as required by law, but final tax responsibility remains with you.

Promotional Codes

From time to time, Veylo may offer promotional codes or discounts ("Promo Codes") that can be applied to subscription fees. Promo Codes are valid only for the time and purpose specified at the time of issuance and may be subject to additional terms.

Promo Codes:

  • Must be used in accordance with the stated eligibility criteria
  • Are non-transferable, have no cash value, and may not be resold
  • May not be combined with other offers unless explicitly stated

Veylo reserves the right to modify, suspend, or cancel any Promo Code at any time without notice, including if we determine that the code is being misused or abused.

You agree to use Veylo only for lawful purposes and in a manner consistent with these Terms. You may not, and may not permit others to:

We reserve the right to suspend or terminate your access to the Service if we reasonably believe you have violated this Acceptable Use Policy.

Service Availability & Support

Veylo strives to maintain reliable and uninterrupted access to the Service. However, we do not guarantee that the Service will be available at all times. Access may be temporarily limited or interrupted due to maintenance, updates, technical issues, or circumstances beyond our control.

We may perform routine maintenance with or without prior notice. In cases of critical updates or emergencies, we may limit access to parts of the Service temporarily.

Veylo provides support for its users through designated channels such as email. Support response times may vary depending on your subscription plan, time of day, and the nature of the request.

You acknowledge that occasional downtime may occur and agree that Veylo will not be liable for any loss or inconvenience caused by service interruptions, delays, or errors.

Data Usage & Security

Veylo is committed to safeguarding your personal and business data. We collect and process your data in accordance with our Privacy Policy, which outlines how we gather, use, and store information provided by you and your users.

Data Collection & Use

When you use the Service, Veylo may collect personal information, transaction data, and usage information to provide the Service and improve its functionality. By using Veylo, you consent to the collection and use of this data in accordance with our Privacy Policy.

Data Security

Veylo takes reasonable measures to protect the security of your data from unauthorized access, loss, or misuse. This includes encrypting sensitive data and implementing industry-standard security protocols.

While we use reasonable efforts to secure your data, no data transmission over the internet or method of electronic storage can be 100% secure. Therefore, we cannot guarantee absolute security, and you agree to use the Service at your own risk.

Data Retention

Veylo will retain your data for as long as your account is active or as needed to provide you with the Service. If you cancel or request the deletion of your account, Veylo will delete your data in accordance with our Privacy Policy, except where retention is required for legal or business purposes.

Third-Party Services

Veylo may share your data with third-party service providers (e.g., payment processors, email providers, etc.) solely for the purpose of providing and improving the Service. These third-party providers are obligated to protect your data in accordance with applicable privacy laws and security standards.

Account Termination

By You (User)

You may terminate your account at any time by following the account deactivation process within the Service or by contacting Veylo’s support team. Upon termination, you will lose access to all features of the Service, and all associated data may be deleted, in accordance with our Privacy Policy, unless retention is required by law.

Veylo reserves the right to suspend or terminate your account at any time, with or without notice, for any of the following reasons:

If your account is terminated, your access to the Service will be immediately revoked, and any outstanding balances owed to Veylo will remain due.

Effects of Termination

Upon termination of your account, Veylo may delete your account data from its systems, subject to legal retention requirements. You will no longer be able to access the Service, and any prepaid fees will not be refunded, unless specified otherwise. Veylo will not be liable for any damages resulting from the termination of your account, including the loss of data.

Intellectual Property

The Service, including its software, features, content, and trademarks, are owned by Veylo or licensed from third parties. You are granted a limited, non-exclusive, non-transferable license to access and use the Service as intended. You may not copy, modify, distribute, or reverse engineer any part of the Service without prior written consent from Veylo.

Limitation of Liability

To the fullest extent permitted by law, Veylo and its affiliates, officers, employees, agents, or licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business arising out of or in connection with the use or inability to use the Service, even if Veylo has been advised of the possibility of such damages.

In no event shall Veylo’s total liability to you exceed the amount paid by you for the Service during the [6-month] period immediately preceding the event giving rise to the claim.

Indemnification

You agree to indemnify and hold harmless Veylo, its affiliates, officers, directors, employees, agents, and licensors from any claim, demand, liability, or expense (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Ontario, Canada, without regard to its conflict of laws principles. By using the Service, you consent to the exclusive jurisdiction of the courts located in Ontario, Canada for the resolution of any legal disputes.

In the event of a dispute arising from or related to these Terms, you agree to first attempt to resolve the dispute through informal means, including negotiation or mediation. If the dispute cannot be resolved informally, it will be resolved through binding arbitration under the rules of the Arbitration Association of Ontario in Ontario, Canada.

You agree that any legal action or proceeding under these Terms will be conducted in English, and any award rendered by the arbitrator will be final and binding, subject only to limited judicial review as provided by applicable law.

Changes to Terms

Veylo reserves the right to modify these Terms at any time. Significant changes will be communicated to you via the email associated with your account or via a prominent notice within the Service. By continuing to use the Service after these changes are made, you accept and agree to the revised Terms.
